Definitions
In these Terms and Conditions, the following terms are understood to mean:
Products: products that the customer buys from Slijpenschuurschijven.nl
Price: price for Products expressed in euros, excluding transport costs, excluding VAT
Website: www.Slijpenschuurschijven.nl
Customer: any natural or legal person who purchases Products from Slijpenschuurschijven.nl
Consumer: natural person who buys Products from Slijpenschuurschijven.nl for private use outside the exercise of a profession or business
Digital Impress B.V., located at Havenstraat 3, 8304 AG Emmeloord, and registered under number 65429737 at the Chamber of Commerce
Conclusion of agreement
Any order for Products shall be deemed to be an offer by the Customer to purchase the Products subject to these Terms and Conditions. Slijpenschuurschijven.nl accepts this offer under these Terms and Conditions at the moment it confirms the order, or by actually executing the order. Offers from Slijpenschuurschijven.nl are valid for 10 days, unless a different term is stated in the offer. Information, images or announcements provided by Slijpenschuurschijven.nl with regard to offers and the most important features of the Products are (displayed) or made as accurately as possible. However, Slijpenschuurschijven.nl does not guarantee that all offers and Products are fully in accordance with the information provided. In principle, deviations cannot give rise to compensation and/or dissolution of the agreement.
Costs and Price Changes
The cost price of the Products and the amount of the delivery costs are stated on the Website. Slijpenschuurschijven.nl expressly reserves the right to change prices and to correct any errors. Slijpenschuurschijven.nl cannot be held liable for any errors that may have occurred in its prices or Conditions. Changes in taxes, excise duties and similar government levies may at all times be passed on by Slijpenschuurschijven.nl in the price of the Products.
Payment
Customers who order Products from Slijpenschuurschijven.nl pay the entire invoice prior to the delivery of the Products. In the event of late payment by the Customer, an interest of 8% per year on the outstanding amount is due from the day on which payment should have been made until the day of full payment. All (extra-)judicial costs of whatever nature that Slijpenschuurspreis.nl has had to incur as a result of the Customer's failure to comply with its (payment) obligations will also be borne by the Customer. In the event of late payment, Slijpenschuurspreis.nl is authorized to refuse or suspend the delivery of further orders from the Customer.
Delivery and Delivery Time
Deliveries take place exclusively within Europe. Orders are delivered as soon as possible. In principle, Slijpenschuurschijven.nl strives to deliver orders within the Netherlands 24 hours and Belgium within 48 hours. For locations outside the Netherlands and Belgium, Slijpenschuurschijven.nl aims to deliver the order within 3 to 7 days, depending on the destination country. The expected delivery time for each country is indicated on the Website. These (and other) delivery times are only an indication and are never a strict deadline. If a Product is temporarily out of stock, we will indicate when the Product is expected to be available again. Delays caused by Slijpenschuurschijven.nl will be reported to the Customer by email or telephone. Deliveries take place at the address specified by the Customer during the conclusion of the agreement, up to behind the first door on the ground floor. This is based on an address that can be reached with a normal truck. Additional costs in connection with difficult accessibility or delivery to a place other than the aforementioned are for the account of the Customer. Slijpenschuurschijven.nl reserves the right to deliver orders in partial shipments.
Ownership and Risk
Ownership of Products is transferred at the moment that all claims to Slijpenschuurschijven.nl have been paid. The Customer may not sell, resell, dispose of or otherwise encumber the Products before the ownership thereof has passed. The Customer must also clearly mark the Products as being the property of Slijpenschuurschijven.nl and the Customer hereby grants Slijpenschuurschijven.nl permission to collect the Products at the Customer's location where the Products are stored. The risk passes at the time of delivery of the Products.
Liability
Save in the event of willful misconduct or deliberate recklessness on the part of Slijpenschuurschijven.nl , and to the extent permitted by law, Slijpenschuurschijven.nl 's total liability towards the Customer (not being a Consumer) is limited to the amount covered in the relevant case under the relevant insurance of Slijpenschuurschijven.nl paid.
Reject and reflection time
Within 30 days after receipt from the distribution center or after delivery, Customers may reject Products due to visible deviations from what has been agreed. Thereafter, the Products are deemed to have been accepted. The Product must be returned in the original packaging, without damage, in a salable condition and with the supplied accessories, upon presentation of the original invoice. Consumers may also unilaterally cancel the purchase of Products without stating reasons within 14 days of receipt of a Product. Slijpenschuurschijven.nl will receive a written confirmation of this. Termination is not possible for Products that are manufactured in accordance with the Consumer's specifications and for other cases that are excluded by law. The Customer is responsible for returning the Product and the associated costs. The Price and any other amounts paid by the Customer will be refunded to the Customer within 14 days of the cancellation. The costs for returning a Product, as well as any damage, will be deducted from the amount to be refunded. All rights in connection with defects in a Product lapse if the Customer has not communicated the alleged defects in writing to Slijpenschuurschijven.nl within two months after discovery. This provision does not affect the rights of Consumers with regard to defects in Products. Specially ordered quantities cannot be returned.
Force of the majority
In the event of force majeure, Slijpenschuurschijven.nl is not obliged to fulfill its obligations towards the Customer, or the obligation is suspended for the duration of the force majeure. Force majeure is understood to mean any circumstance beyond its control, as a result of which the fulfillment of its obligations towards the Customer is wholly or partially prevented. These circumstances include strikes, fire, operational disruptions, energy disruptions, transport obstacles, non-delivery or late delivery by suppliers or other third parties engaged and the lack of any government permit. Force majeure also includes disruptions in a (communication) network and/or the Website being unavailable at any time. If the force majeure continues for a period of at least 30 days, Slijpenschuurschijven.nl is entitled to dissolve the agreement without the Customer being entitled to any form of compensation.
Personal data
Slijpenschuurschijven.nl will only process the data of the Customer in accordance with the extensive Privacy Policy as published on the Website.
Adjustments
Slijpenschuurschijven.nl may amend these Terms and Conditions at any time, whereby the new terms and conditions apply immediately to the purchase of new Products. The Conditions that applied at the time of the conclusion of the agreement will continue to apply to Products already sold.
Law
All offers, agreements and these Terms and Conditions are exclusively governed by Dutch law. The United Nations Convention on Contracts for the International Sale of Goods does not apply. The civil court in Amsterdam is exclusively competent to hear disputes between the parties, insofar as mandatory law does not provide otherwise.
Specific - Business Customer Terms
These specific Business Client Conditions (the Conditions) include the conditions that apply, in addition to Slijpenschuurschijven.nl General Conditions. Definitions used herein have the meaning ascribed to them in the Slijpenschuurwielen.nl General Terms and Conditions. By submitting an application form to Slijpenschuurschijven.nl to register an Account, the Customer accepts these Terms and Conditions.
Registration Account – Business Customer
Any Customer, not being a Consumer, with a minimum age of 18 years, who is registered with the Chamber of Commerce and who has a Dutch business bank account, can apply for an account for a Business Customer. To become a Business Customer at Slijpenschuurschijven.nl, the Customer must complete an application form from Slijpenschuurschijven.nl Slijp en schuurschijven may accept or refuse registration at its sole discretion. The Customer guarantees the correct completion of the Business Customer application form and authorizes Slijpenschuurschijven.nl to carry out all checks with regard to his identity and place of residence. Name and address changes or instructions that may be relevant to Slijpenschuurschijven.nl with regard to the Business Customer must be passed on by the Customer to Slijpenschuurschijven.nl as soon as possible. A Customer can register for one Account with one or more Business Customer registrations, in particular contact persons and locations. The Business Customer registration is strictly personal and only the registrant(s) listed on the Business Customer form of the Account can benefit from its benefits. The Business Customer registration cannot be transferred to another Account. As a registered Business Customer, the Customer gives permission to receive all communications regarding newsletters, promotions and other information by e-mail. Slijpenschuurschijven.nl sets a credit limit for the Business Customer and informs the Customer in writing about any changes.
Credit rating
Slijpenschuurschijven.nl requests credit information from an undisclosed credit reference agency, to assess your payment behavior, before opening an Account. In some cases, Slijpenschuurschijven.nl may also examine the personal credit file of the most important directors to determine your solvency position. Slijpenschuurschijven.nl may also search the files of credit reference agencies and record the results of such investigations. Slijpenschuurschijven.nl tracks information regarding the payment behavior of the Customer and records this information, such recorded information can be made available to credit reference agencies, who share this information with other companies in case of assessment of credit applications and to prevent fraud.
Validity
A Business Customer registration is valid in combination with a valid business European (SEPA) direct debit mandate. If the European direct debit mandate has not been used for 3 years, this and with it the Business Customer registration will expire. Slijpenschuurschijven.nl and the Customer can terminate the Business Customer and the Account at any time. The Customer may terminate his Account by written notice by post with acknowledgment of receipt to the following address: Digital Impress B.V. – Business Client, Havenstraat 3, 8304 AG Emmeloord, The Netherlands, or by e-mail: Contact form The notification must contain the following information: Company Name, Surname, First Name, Address, and Business Client Registration Number. Any outstanding amounts on the Business Customer's Account are then immediately due and payable.
Use Account Registration – Business Customer
The Business Customer user must be submitted at all times to be able to purchase goods or services on his Account Registration – Business Customer. Slijpenschuurschijven.nl provides the Customer with a proof of purchase for all purchases via his Account, either with purchase at the Emmeloord location or with digital purchase and delivery. The Business Customer must keep these proofs of purchase for his own administration. The Business Customer receives an overview of all purchases at the beginning of each calendar month and payment must be made around the 15th day of the month following the month in which the purchase was made. Every payment to Slijpenschuurschijven.nl must be made in euros by means of direct debit (SEPA). If the Account in whose name the Business Client is held is a company, and you are a director of the company, you personally guarantee the fulfillment of all current and future financial obligations as a Business Client to Slijpenschuurschijven.nl (including any later extensions of the credit granted to the Account). A Business Customer may not withhold payment of an invoice or other amount owed to Slijpenschuurschijven.nl because of any right to set-off or a counterclaim that the Business Customer may have or claims to have. A Business Customer is in default in the event of late payment, without a written reminder or notice of default being required. If a Business Client fails to pay the outstanding balance on the Account in full and on time, interest will be payable at the rate of 8% per annum on such overdue amounts from the due date until payment is made in full (including any accrued interest), either before or after a court order, plus any reasonable legal and/or other recovery costs.
Liability of the Account Registration - Business Customer Liability Slijpenschuurschijven.nl
The Customer must immediately inform Slijpenschuurschijven.nl if he becomes aware of, or suspects, that the Account is being abused. Until the Customer has reported these events to Slijpenschuurschijven.nl, he is liable for any loss resulting from misuse of the Account. Slijpenschuurschijven.nl is exempt from all liability for the consequences and misuse of the Account Registration Business Customer
